General Terms and Conditions – Keepr Essentials / RHMT Ventures

1. Seller Information
Keepr Essentials (RHMT Ventures), located at Meenkselaan 14, 3972 JR Driebergen-Rijsenburg, the Netherlands, registered with the Dutch Chamber of Commerce under number 93994435. E-mail: info@keepressentials.nl.
2. Applicability of the Terms
These general terms and conditions (“terms”) apply to all offers, orders and contracts between seller and buyer. Any differing or additional terms from buyer are expressly rejected unless explicitly agreed in writing by seller. If any provision of these terms is held invalid or unenforceable, the remaining provisions remain in full force. Mandatory consumer protection laws remain unaffected.
3. Formation of the Contract
3.1 All offers by seller are non-binding, unless expressly stated otherwise.
3.2 A contract is concluded when seller accepts buyer’s order, for instance by sending an order confirmation or by performing delivery.
3.3 Payment is due upon placing the order; until full payment is received, seller is not obliged to deliver.
3.4 If payment is not received within a reasonable period, seller may cancel the order and terminate the contract.
3.5 If seller later determines that a product is no longer available, seller shall notify buyer without delay and refund any payments (including standard shipping).
3.6 Buyer cannot unilaterally change the order without prior written consent of seller.
4. Product Information & Pricing
4.1 Seller endeavors to present product information, images and specifications accurately.
4.2 Typographical or formatting errors or manifest mistakes (e.g. incorrect price) do not bind seller.
4.3 All prices are in euros, inclusive of Dutch VAT (21%), unless otherwise stated, but exclude shipping, customs duties or other charges.
4.4 For sales outside the EU, additional costs, import duties or taxes may apply, borne by buyer.
4.5 Buyer may verify the total price (including VAT and shipping) in the shopping cart or during checkout.

5. Payment
5.1 Payment is only possible via payment methods accepted by seller, such as iDEAL and credit card (Visa, MasterCard).
5.2 Payments are processed through a secure payment system in euros.
5.3 Buyer must provide correct payment details and ensure timely payment.
5.4 Until full payment is received, seller is not obligated to deliver.
5.5 If payment is not completed within a reasonable period, seller may cancel the order.
5.6 In case of cancellation by seller (e.g. out of stock), refund must be made within 14 days of cancellation per art. 6:230n BW.
6. Delivery, Delivery Time & Termination
6.1 Products are shipped from the Netherlands, unless otherwise agreed.
6.2 Orders in stock are shipped within 2-3 working days. Delivery time: 2-5 working days (NL), 5-10 working days (EU/world).
6.3 The stated delivery time is indicative and non-binding. Delay does not entitle buyer to termination or damages, unless seller is more than 30 days late and negligent.
6.4 Before buyer may terminate due to late delivery, buyer must put seller in default in writing and grant a reasonable period for performance.
6.5 If seller still fails to comply, buyer may terminate and receive a full refund including standard shipping costs.
6.6 The risk of loss or damage passes to buyer at the moment of delivery.
6.7 For deliveries outside the EU, seller is not responsible for import restrictions or prohibited goods.
6.8 Damage during transport
Check package with delivery person. Report damage immediately with photos to info@... within 48 hours. PostNL damage form will be provided.
7. Right of Withdrawal (Cooling-off) – Consumers Only
7.1 If buyer is a consumer, statutory right of withdrawal applies: within 14 days after receipt of goods, consumer may cancel without giving reasons, unless a legal exception applies.
7.2 The 14-day period begins the day after consumer takes physical possession of the goods.
7.3 Consumer must inform seller (e.g. by email) within the withdrawal period.
7.4 After withdrawal, consumer has 14 days to return the goods in original condition, packaging and with accessories.
7.5 The cost of return shipment is borne by the consumer unless seller states otherwise or the goods arrived defective.
7.6 Seller will reimburse all payments (including standard shipping) within 14 days after receipt of the returned goods.
7.7 Exceptions (pursuant to art. 6:230p BW) — the right of withdrawal does not apply to:
a. Goods sealed for health or hygiene reasons if seal is broken after delivery (e.g. cosmetics).
b. Custom-made or personalized goods.
c. Audio or video recordings or software in sealed packaging if seal is broken.
d. Digital content (without physical medium) if performance has begun with explicit consent of consumer and he waived withdrawal right.
7.8 RETURN PROCESS

Return Process
We offer a 30-day money-back guarantee. The conditions are that we receive the product and all accompanying accessories in good condition. If this is not the case, additional costs may be charged. The return shipping costs are the responsibility of the customer, unless a defective product was delivered.
We also offer a lifetime warranty on our products, which is 25 years. If there is a manufacturing defect or a faulty product, you can return it to us. The transportation costs are the responsibility of the customer, but we will replace the defective product with a new one.
8. Warranty & Conformity
8.1 Seller warrants that delivered products conform to the contract and meet reasonable expectations under normal use.
8.2 A statutory conformity guarantee applies (at least two years within the EU).
8.3 If goods are non-conforming, the consumer may demand repair or replacement free of charge, or terminate the agreement if repair or replacement is not possible.
8.4 Consumer must notify defects within a reasonable period after discovery.
8.5 Warranty does not cover improper use, inadequate maintenance, normal wear and tear, or external damage.
8.6 Seller may not charge buyer for shipping costs of replacement or repaired parts (art. 7:21 paragraph 2 BW).
9. Liability & Force Majeure
9.1 To the extent legally permitted, seller’s liability for direct damage is limited to the amount paid for the order.
9.2 This limitation does not apply in cases of willful misconduct or gross negligence.
9.3 It also does not apply to liability under product liability laws (for defective products), or for personal injury or death.
9.4 Seller is not liable for indirect, consequential loss or lost profits.
9.5 Seller is not liable for violations of GDPR (e.g. data breaches), unless by willful intent or gross negligence.
9.6 Neither party is liable for failure or delay caused by force majeure, including war, natural disasters, fire, pandemics, cyber attacks, major platform outages, government measures, strikes, shortage of raw materials or transport facilities, or other circumstances beyond seller's control.
9.7 If force majeure lasts more than 30 days, either party may terminate the contract without obligation to pay damages.
10. Complaints Procedure
10.1 Buyer shall notify complaints regarding goods or performance in writing (e.g. email) no later than 7 days after delivery, with clear description of the defect.
10.2 Seller will respond within 14 days.
10.3 If unresolved, consumer may use the European ODR platform: https://ec.europa.eu/consumers/odr
10.4 Complaints may also be submitted to a competent dispute resolution body (if applicable) or the Dutch Authority for Consumers & Markets (www.acm.nl).
11. Applicable Law & Jurisdiction
11.1 Dutch law governs all contracts to which these terms apply.
11.2 For consumers residing in another EU country, mandatory consumer protection laws of their country remain applicable.
11.3 Under Regulation Brussels I-bis, consumers may choose to bring proceedings either in the Netherlands or in their home court.
11.4 For all other cases (e.g. business buyers), the competent court in the Netherlands has exclusive jurisdiction, unless mandatory laws require otherwise.
12. Changes to the Terms
12.1 Seller reserves the right to amend these terms at any time.
12.2 Amendments take effect upon publication on the website.
12.3 The latest version is always available on the website.
12.4 Amendments do not apply to orders placed prior to the date of amendment.
